END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between
you ("Licensee") and 1000580102 Ontario Inc., operating as BitanixSoft
("Licensor"), the owner and publisher of the Bitanix NetMan software
application ("Software").

By installing, activating, or using the Software, you acknowledge that you
have read, understood, and agree to be bound by this Agreement.

1. GRANT OF LICENSE

Subject to compliance with this Agreement and payment of applicable fees,
Licensor grants Licensee a limited, non-exclusive, non-transferable,
non-sublicensable licence to install and use the Software for the licence
term and number of active installations permitted by the applicable
entitlement.

The Software is licensed, not sold.

2. LICENSE TERM, ACTIVATION, AND ENTITLEMENT

Each licence is valid for the term purchased and is subject to the
activation and entitlement mechanisms implemented by BitanixSoft.

Unless otherwise stated at the time of purchase, a licence permits one
active installation at a time.

Licence terms, renewal conditions, cancellation procedures, and applicable
commercial terms are further described in the BitanixSoft Terms of Service
and Refund Policy.

Upon expiration, cancellation, or termination of a licence, some or all
Software functionality may become unavailable.

3. AUTHORIZED USE

Bitanix NetMan provides network administration, discovery, documentation,
assessment, auditing, configuration-management, and defensive-security
capabilities.

Licensee may use these capabilities only on networks, systems, devices, and
infrastructure that Licensee owns or is explicitly authorized to administer,
assess, test, or manage.

Licensee is solely responsible for obtaining all necessary authorization
before performing network discovery, scanning, SSH or SNMP operations,
configuration collection, security assessment, system auditing, or
remediation.

The Software must not be used to obtain unauthorized access to systems,
networks, accounts, credentials, or information.

4. RESTRICTIONS

Except where applicable law expressly provides otherwise, Licensee may not:

(a) reverse engineer, decompile, or disassemble the Software;

(b) resell, sublicense, rent, lease, redistribute, or otherwise make the
Software or licence credentials available to unauthorized third parties;

(c) circumvent or attempt to circumvent activation, entitlement, licensing,
or other technical protection mechanisms;

(d) remove or alter proprietary notices, copyright notices, or branding;

(e) extract, misuse, or attempt to obtain private signing keys, licensing
secrets, or protected cryptographic material;

(f) use the Software to develop or facilitate unauthorized access to systems;

(g) use the Software in violation of applicable law.

Nothing in this Agreement limits rights that must remain available under
applicable third-party or open-source software licences.

5. OWNERSHIP AND INTELLECTUAL PROPERTY

The Software is licensed, not sold.

Licensor retains all right, title, and interest in and to the Software and
its proprietary components, including applicable copyrights, trademarks,
trade secrets, designs, documentation, and other intellectual property
rights.

No ownership interest in the Software is transferred to Licensee under this
Agreement.

Third-party and open-source components remain subject to their respective
licence terms.

6. LOCAL-FIRST DATA ARCHITECTURE

Bitanix NetMan is designed primarily around a local-first architecture.

Network topology, device inventory, configuration information, documentation,
and other operational information created or collected through normal
Software operation are stored locally on Licensee's system unless Licensee
explicitly chooses functionality involving an external service.

Licensee is responsible for protecting the computer, operating-system
account, backups, and local data associated with the Software.

7. CREDENTIALS AND CONNECTION SECURITY

Where Licensee chooses to store or use credentials for SSH, SNMP, or other
supported management functionality, Licensee is responsible for ensuring
that such credentials are authorized for the intended systems.

The Software may use operating-system or application security mechanisms to
protect locally stored credentials.

Licensee remains responsible for endpoint security, access control,
credential rotation, account permissions, host-key verification, and the
security of managed environments.

8. NETWORK DISCOVERY AND SECURITY ASSESSMENT

Discovery, scanning, auditing, vulnerability information, configuration
analysis, and security findings provided by the Software are intended to
assist authorized administration and defensive-security activities.

Results may contain false positives, false negatives, incomplete information,
or findings requiring additional investigation.

Security findings, risk ratings, CVE information, recommendations, and
automated analysis are decision-support information and do not constitute a
certification or guarantee that any system is secure, compliant, or free
from vulnerabilities.

Licensee is responsible for validating findings before taking action.

9. OPERATIONAL RISK

Network-management operations can affect device state, connectivity,
configuration, availability, or remote access.

Licensee is responsible for:

- approving changes before execution;
- maintaining appropriate backups;
- maintaining suitable recovery access;
- selecting appropriate maintenance windows;
- validating commands and recommendations;
- testing changes where appropriate; and
- complying with organizational policies and applicable law.

Licensor does not guarantee that network or system operations performed
through the Software will be interruption-free or reversible in every
environment.

10. UBUNTU ASSISTED REMEDIATION

Bitanix NetMan may provide assisted auditing and remediation functionality
for supported Ubuntu systems.

Remediation operations may modify system configuration, including SSH,
firewall settings, time synchronization, services, installed packages,
configuration files, and file or directory permissions.

Before executing remediation, Licensee should maintain an independent and
tested backup and, where appropriate, console or out-of-band recovery access.

Where the Software provides backup, verification, preview, or rollback
functionality, these mechanisms are intended to reduce operational risk but
do not replace an independent backup or recovery plan.

Licensee is responsible for reviewing proposed changes and determining
whether they are appropriate for the target environment before execution.

11. AI-ASSISTED FEATURES AND EXTERNAL SERVICES

The Software may provide optional AI-assisted analysis or other functionality
that communicates with third-party services selected or configured by
Licensee.

Where an external AI service is used with Licensee's own API credentials,
only information selected or approved for the applicable operation should be
submitted.

Licensee is responsible for reviewing information before transmission and
for complying with the third-party provider's terms, privacy requirements,
and applicable organizational policies.

AI-generated analysis, recommendations, summaries, and explanations may be
incomplete or inaccurate and must be independently reviewed before being
used for operational or security decisions.

Unless explicitly identified by the Software as an automated action requiring
separate approval, AI-generated recommendations do not themselves constitute
authorization to modify managed systems.

12. THIRD-PARTY SOFTWARE

The Software includes or may interact with third-party software, libraries,
protocols, services, databases, and open-source components.

Applicable third-party notices and licence materials are provided with the
Software where required.

Third-party components and services remain subject to their respective terms
and licences.

13. UPDATES AND SUPPORT

Licensor may provide updates, patches, security fixes, compatibility changes,
or new versions during an active licence term.

Availability and scope of updates and technical support may depend on the
applicable licence plan and then-current BitanixSoft policies.

Updates may modify or discontinue functionality where reasonably necessary
for security, compatibility, legal compliance, or product development.

14. PRIVACY

Handling of personal information by BitanixSoft is governed by the
BitanixSoft Privacy Policy.

Licensee is responsible for determining whether information processed,
stored, collected, or transmitted through Licensee's use of the Software is
subject to privacy, confidentiality, data-protection, or regulatory
requirements applicable to Licensee.

15. TERMINATION

This Agreement remains effective until the applicable licence expires or the
Agreement is otherwise terminated.

Licensor may terminate or suspend rights granted under this Agreement where
Licensee materially breaches its terms, subject to applicable law.

Upon termination, Licensee must cease unauthorized use of the Software.

Provisions that by their nature should survive termination, including
ownership, restrictions, disclaimers, and limitations of liability, shall
survive termination.

16. WARRANTY DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED
"AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS,
IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR
A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.

LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL IDENTIFY EVERY
VULNERABILITY, CONFIGURATION ISSUE, SECURITY CONDITION, OR OPERATIONAL RISK,
OR THAT ALL RECOMMENDATIONS OR REMEDIATION OPERATIONS WILL BE APPROPRIATE FOR
EVERY ENVIRONMENT.

Nothing in this Agreement excludes warranties or rights that cannot lawfully
be excluded.

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE
LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR
PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, CONFIGURATION,
BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO
THE SOFTWARE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S TOTAL
AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT
SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE APPLICABLE LICENCE TERM
GIVING RISE TO THE CLAIM.

Nothing in this Agreement limits liability that cannot lawfully be limited
or excluded.

18. EXPORT AND SANCTIONS COMPLIANCE

Licensee is responsible for complying with applicable Canadian export-control
and sanctions laws and any other applicable trade restrictions.

Licensor may refuse, suspend, or terminate access where required by
applicable law.

19. CHANGES TO THIS AGREEMENT

Licensor may update this Agreement for future Software versions, licence
terms, or where reasonably required by changes in law, security requirements,
or Software functionality.

Where required by applicable law, material changes applicable to an existing
licence will be communicated appropriately.

20. GOVERNING LAW

This Agreement is governed by the laws of the Province of Ontario and the
federal laws of Canada applicable therein, without regard to conflict-of-law
principles.

Subject to rights that cannot be waived under applicable law, disputes
arising from this Agreement shall be subject to the jurisdiction of the
courts of Ontario, Canada.

21. SEVERABILITY

If any provision of this Agreement is determined to be invalid or
unenforceable, the remaining provisions shall remain in effect to the
maximum extent permitted by law.

22. ENTIRE AGREEMENT

This Agreement, together with applicable BitanixSoft Terms of Service,
Privacy Policy, Refund Policy, purchase terms, and applicable third-party
licence notices, constitutes the applicable agreement concerning the
licensing and use of the Software.
